Business Sales, Mergers and Acquisitions
Business sales, mergers and restructuring – RASK Attorneys-at-Law advises on M&A transactions, providing confidence and experience at every stage.
Field information
The sale of a business is a defining moment in a company’s lifecycle and requires careful preparation and a structured legal approach. RASK advises clients on mergers and acquisitions (M&A), as well as on the reorganisation and restructuring of companies and corporate groups, with a focus on the lawful, commercially sound and efficient execution of transactions.
Carrying out a transaction and selling a business can be a strategic decision for an entrepreneur – an opportunity to enter a new market or optimise cost structures. Our experience shows that a well-planned transaction can create added value for both owners and the business as a whole. RASK’s role is to provide legal clarity and assurance throughout the entire process – from initial negotiations to the completion of the transaction.
RASK’s reference portfolio spans a wide range of business sectors and landmark transactions. Among others, we have advised Meliva AS on the acquisition of the City Clinics dental clinics, EfTEN on the acquisition of Kristiine Shopping Centre, and on the negotiations for the sale of the majority shareholding in the Port of Pärnu. Our notable international experience includes advising the Zagreb Stock Exchange-listed IT company Span on the acquisition of Estonian software development company GT Tarkvara, as well as representing aviation services provider BGS in the acquisition of Naftelf Eesti, a supplier of aircraft fuel at Tallinn Airport.
Transaction-related work often involves restructuring a company’s corporate governance structure, including the establishment of holding structures, the reorganisation of shareholder relations or the separation of business units. RASK’s experts are actively involved in planning and implementing the corporate changes required to realise large-scale transactions, while ensuring compliance with applicable law, transparency in taxation and liability, and alignment with the interests of the business and its owners.
RASK’s goal is not merely to formalise transactions, but to deliver commercially well-considered solutions. Drawing on long-standing experience across various sectors, we can see the bigger picture and provide advice that considers both our clients’ strategic objectives and the market environment.
